TERMS AND CONDITIONS OF SUPPLY

1. ACCEPTANCE OF TERMS

By accepting a quotation, placing an order, making payment, or purchasing any product from Wood Marvels (Pty) Ltd ("the Supplier"), the customer acknowledges that they have read, understood and agreed to these Terms and Conditions.

2. ORDERS

2.1 All orders are subject to acceptance by the Supplier.

2.2 Upon acceptance of a quotation and/or receipt of payment, a binding agreement shall arise between the Supplier and the customer.

2.3 The Supplier reserves the right to refuse any order at its discretion.

2.4 Orders are subject to product and material availability.

2.5 The customer is responsible for providing accurate delivery, contact and order information. The Supplier shall not be liable for any loss, delay or additional costs arising from incorrect information supplied by the customer.

3. PAYMENT

3.1 Full payment is required before production or delivery unless otherwise agreed in writing.

3.2 Prices displayed on the Supplier's website, quotations or invoices may be amended without notice prior to order confirmation.

3.3 Payment shall be made by electronic funds transfer or via the approved payment gateway.

4. CANCELLATION OF ORDERS

4.1 Any request to cancel an order must be submitted in writing.

4.2 Upon confirmation of an order, the Supplier may immediately commence procurement of materials, scheduling of production and allocation of resources.

4.3 Cancellation of an order does not automatically entitle the customer to a full refund.

4.4 The Supplier reserves the right to charge a reasonable cancellation fee, taking into account:

• Materials purchased or ordered;
• Materials cut, processed or manufactured;
• Supplier cancellation charges;
• Labour and production costs incurred;
• Design, planning and administration costs;
• Storage, transport and handling costs; and
• Any other direct losses suffered as a result of the cancellation.

4.5 Materials ordered, cut or manufactured specifically for an order and which cannot be returned to the Supplier's suppliers shall be treated as unrecoverable costs and may be deducted from any refund due.

4.6 Any refund due shall be calculated after deduction of all reasonable cancellation charges and costs incurred.

4.7 Refunds, where applicable, shall be processed within 14 business days after the cancellation assessment has been completed.

4.8 A change of mind does not automatically entitle the customer to a full refund.

5. LEAD TIMES

5.1 Standard lead times are estimated at 10–14 business days from receipt of payment unless otherwise advised.

5.2 Lead times are estimates only and may be affected by supplier delays, material shortages, transport delays, power interruptions, weather conditions or circumstances beyond the Supplier's control.

5.3 The Supplier shall not be liable for delays caused by circumstances beyond its reasonable control.

6. DELIVERY

6.1 Delivery shall be made to the address supplied by the customer.

6.2 Delivery dates are estimates only and are not guaranteed unless expressly agreed in writing.

6.3 Delivery shall be deemed complete when the Products are delivered to the delivery address and accepted by the customer or a responsible person present at the address.

6.4 Deliveries within 35km of Sunningdale, Cape Town are subject to the Supplier's prevailing delivery fee. Deliveries outside this area may attract additional courier or transport charges.

6.5 Should delivery not be possible due to circumstances attributable to the customer, the customer shall remain liable for delivery charges and any additional re-delivery costs.

6.6 The customer is responsible for ensuring that Products can fit through entrances, hallways, staircases, lifts and into the intended installation area. Any additional costs resulting from access difficulties shall be for the customer's account.

7. STORAGE

7.1 Products not collected or accepted for delivery within 14 days of notification may attract reasonable storage charges.

8. INSPECTION AND DEFECTS

8.1 The customer shall inspect the Products upon delivery.

8.2 Any defects, shortages or discrepancies must be reported in writing within 24 hours of delivery.

8.3 Failure to notify the Supplier within this period shall constitute acceptance that the Products were received in good order.

9. RETURNS AND WARRANTIES

9.1 Products may not be returned solely because the customer has changed their mind after delivery.

9.2 The Supplier warrants that Products will substantially conform to their description and be free from material defects upon delivery.

9.3 If a defect is reported and confirmed by the Supplier, the Supplier may, at its election:

(a) repair the Product;
(b) replace the Product; or
(c) refund or credit the customer as required by applicable law.

10. PRODUCT SPECIFICATIONS

10.1 Product images, brochures, catalogues, social media content and advertising material are intended as guides only.

10.2 Minor variations in colour, grain, texture, finish, dimensions and appearance may occur and shall not constitute defects.

10.3 Natural timber variations, knots, grain patterns and colour differences are inherent characteristics of wood products and are not defects.

11. RISK AND OWNERSHIP

11.1 Risk in the Products passes to the customer upon delivery.

11.2 Ownership of all Products remains with the Supplier until payment has been received in full and cleared.

11.3 Ownership of all designs, concepts, drawings and intellectual property remains vested in the Supplier.

12. LIMITATION OF LIABILITY

12.1 To the fullest extent permitted by law, the Supplier shall not be liable for indirect, special or consequential damages, including loss of profit.

12.2 The Supplier's maximum liability shall be limited to the amount paid by the customer for the relevant Product giving rise to the claim.

13. FORCE MAJEURE

13.1 The Supplier shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to supplier failures, strikes, civil unrest, natural disasters, power interruptions, transport disruptions or acts of God.

14. GOVERNING LAW

14.1 These Terms and Conditions shall be governed by the laws of the Republic of South Africa.

14.2 The customer consents to the jurisdiction of the Magistrate's Court in respect of any claim arising from these Terms and Conditions.

15. ENTIRE AGREEMENT

15.1 No amendment, variation or waiver of these Terms and Conditions shall be valid unless reduced to writing and agreed by the Supplier.
